Terms & Conditions – Open Workshops – 2018

 

  1. Definitions

In these Conditions the following expressions shall have the following meanings:
• “The Company” means The Smart Training Company
• The “Delegate” means the person, company or other legal entity identified as providing a request to The Smart Training Company to supply Services.
• “Services” means the goods or services to be provided by The Smart Training Company to the Delegate under the terms of the contract and “Services” shall be construed accordingly.
• “Confirmation Date” means the date when all the following apply:
– A request to supply Services has been received from the Delegate by The Smart Training Company
– The Smart Training Company has confirmed to the Delegate that the workshop is available.
– Payment has been received.
• “Booking” means the booking between The Smart Training Company and the Delegate under which the Services are to be supplied by The Smart Training Company to the Delegate.
• “Day” means every day of the week including Saturday, Sunday and statutory holidays.  “Month” means a calendar month.  “Week” means seven consecutive days.
• “Intellectual Property” includes all training materials, notebooks, manuals, inventions, patent applications, granted patents, registered and unregistered designs, copyright works, trademarks and confidential information.

  • “Eventbrite” – a ticketing booking engine to facilitate bookings and payments

2. Bookings and Prices

Bookings are to be made via The Smart Training Company website and booking engine which is currently Eventbrite. Click the ‘Book Now’ button for the appropriate workshop.

The price payable for Open Workshops are stated on The Smart Training Company website and booking engine (currently Eventbrite).

Where a workshop has a duration of two days (e.g. Train the Trainer) both days will need paying for at the stated Delegate rate as above.

The price does not include travel or accommodation. Refreshments and lunch will be provided on the day.

All prices are inclusive of Value Added Tax and this will be charged at the appropriate rate.

Minimum numbers are required for a workshop to run. If the minimum numbers are not achieved a refund or alternative date or workshop will be offered.

  1. Terms of Payment

Payment by credit/debit card is required at the time of booking via the Eventbrite booking site. Payment is due in advance of the workshop commencement by the latest 14 days prior to the workshop date. For last minute bookings sooner than 14 days in advance of a workshop, these must be paid in advance of workshop commencement.  You will receive an automatically generated ticket/confirmation from Eventbrite.

  1. Descriptions and Training Providers

The Company may from time to time provide training in conjunction with other Training Providers or Associates.  To the best knowledge of The Company these Training Providers and Associates are suitably qualified and experienced to deliver the training workshops offered.

The contents of workshop schedules are intended for general guidance only and do not form any part of a booking.  The Company reserves the right to make any reasonable variations to public workshops, including the content and location of the workshops, without notice.

The Company will perform the Services with reasonable skill and care. Any other conditions or warranties whether express or implied as to the quality of the Services are hereby expressly excluded.

  1. Open Workshops

The indication of availability and location shown on The Company website is for general guidance and does not form any part of a contract.  Please contact The Company before making any travel or accommodation arrangements as The Company will not be liable for any action that you may take in reliance on the information.

The Company and its Training Providers reserve the right to refuse admission to the training premises by any person whom they consider in their absolute discretion to be unsuitable for admission onto the training premises or to remove any such person after the commencement of a workshop.

It is the responsibility of the Delegate to ensure that they meet the prerequisites of the workshop on which they are booked, and that the workshop content meets their requirements.

Unless otherwise indicated, all workshops are delivered solely in English and all Delegates must be sufficiently proficient in English language before attending a workshop.

  1. Cancellation, Transfers and Substitutions

The Company reserves the right to cancel or arrange an alternative date for a workshop.  In such circumstances The Company will endeavour to provide notice of cancellation or change to the Delegate. In the event of cancellation, the Delegate will be entitled to a full refund of the workshop fee, but The Company shall not be liable for any other loss or expense arising.

The Delegate may cancel the workshop booking by notifying The Company in writing by acknowledged email or by recorded delivery as soon as reasonably practicable.  The Delegate shall also be deemed to have cancelled the workshop booking if the Delegate does not attend the event.  The Delegate shall be liable to pay a cancellation fee as follows:

Open Workshops (eg Public scheduled workshops):

 Number of Days’ Notice Proportion of Workshop Fee Payable
 14 Days 100%
 15- 30 Days 50%

 

In the event that the Delegate is unable to attend the workshop booked The Company will endeavour to transfer the Delegate to an alternative workshop.  If this is requested within 1 month from the date of the original workshop, then no charges shall be payable.

  1. Joining Instructions

Joining instructions including venue details and start times are sent out by email directly to confirmed Delegates at least 7 days before the event. The Company will sometimes ask for pre-workshop work prior to workshop commencement and Delegates are responsible for completing the pre-workshop work.

  1. Liability

The Company’s total liability for any loss or damage shall not exceed the price payable for the Services, except in cases of direct physical damage to the Delegate’s property, personal injury or death.

The Company shall not be liable howsoever caused for indirect or consequential loss including but not limited to: loss of profits; loss of revenue; loss of goodwill; loss of data; failure to achieve savings.

  1. Force Majeure

The Company shall not be in breach of this contract if there is any total or partial failure of performance by it of its duties and obligations under this contract occasioned by any act of God, fire, act of government or state, war, civil commotion, insurrection, embargo, prevention from or hindrance from obtaining any raw materials or energy, sickness or other cause beyond its reasonable control.

If the Company is unable to perform its duties and obligations under this contract as a direct result of one or more such causes The Company shall give written notice to the Delegate of such inability stating the cause in question.

  1. Specific Needs

The Smart Training Company aims to ensure its workshops are accessible to all. If you have any specific needs, such as dietary or access requirements, please advise us at the earliest possible time and we will contact you to discuss your requirements. It is the responsibility of Delegates to inform The Smart Training Company about any specific needs or requirements they may have.

  1. General

The Contract shall only become effective at the Confirmation Date.

Any typographical clerical or other error or omission in any sales literature, administrative documentation, workshop materials, invoice or other document or information issued by The Company or its Training Providers shall be subject to correction without any liability on the part of The Company.

No variation to these Terms and Conditions shall be effective unless made in writing and signed by an authorised representative of The Company.

The invalidity or unenforceability for any reason of any condition, sub-clause or paragraph of these Terms and Conditions shall not prejudice or affect the validity or enforceability of the remainder.

These Terms and Conditions shall be governed by and construed in accordance with English law and the parties agree to submit to the exclusive jurisdiction of the English courts.

  1. Photography, recording, Audio or Visual Material

All unauthorised photography and the recording or transmitting of audio or visual material, data or information is expressly prohibited. You consent to filming and sound recording, and photography of the Public Workshop/s as a Delegate and you consent to the use by the Smart training Company of any such recording or photography anywhere in the world for promotional, marketing and other purposes.

  1. Data Protection
